Summary of Authority

The Certificate of Incorporation for the Clayton Jackson McGhie Memorial, Inc. under section 501 (c) (3) of the Internal Revenue Code, dated November, 2003, establishes Clayton Jackson McGhie Memorial, Inc. as a public charity.

The Certificate of Incorporation details the mission and purpose of the organization and its governing body.  Clayton Jackson McGhie Memorial, Inc. is administered by a Board of Directors which is governed under its own by-laws.

Clayton Jackson McGhie Memorial, Inc. has adopted and will enforce those rules and regulations that may be necessary and appropriate to carry out its duties and responsibilities under its Certificate of Incorporation and by-laws. This final set of rules and regulations was approved by the Board of Directors.

Clayton Jackson McGhie Memorial, Inc. may amend, modify, or withdraw any of its rules and regulations at any time, if the organization deems it in its best interest to do so.  As a public charity, Clayton Jackson McGhie Memorial, Inc. may exercise the foregoing rights at any time without notice and without liability.

Clayton Jackson McGhie Memorial, Incorporated Stewardship

The Clayton Jackson McGhie Memorial is both a public display of acknowledgment and hallowed ground, commemorating the memory of the three African American men lynched in the city of Duluth on June 15, 1920.

The Clayton Jackson McGhie Memorial is in keeping with memorials around the country and worldwide: Offering a sense of place and connectivity, in regards to what the memorial commemorates.

The Clayton  Jackson McGhie Memorial is an intersection of memory and history, intended to both bond us to that dark time in Duluth’s past and to propel us forward, as a community, to continue to Bring the Truth to Light.

Visitors are invited and welcome to spend time at the memorial, to honor the memory of the three young men and reflect on the words inscribed on the walls in the name of reconciliation and healing.

Clayton Jackson Mcghie Memorial, Incorporated directors and community members are available to conduct guided educational tours.

The Clayton Jackson McGhie Memorial and Clayton Jackson McGhie Memorial Plaza is the public property of Duluth, giving full jurisdiction of the site to the City of Duluth.

Clayton Jackson McGhie Memorial, Incorporated is honored to have stewardship of the site. This stewardship includes, but is not limited to, an annual spring clean-up, conducting educational tours, and hosting the annual Day of Remembrance in June.

Definitons

The following terms are defined as they pertain to the operational procedures of the Clayton Jackson McGhie Memorial.

  1. Clayton Jackson McGhie Memorial Plaza: The Clayton Jackson McGhie Memorial Plaza includes a parcel of property at the corner of 1st Street and 2nd Avenue East in downtown Duluth, MN, otherwise referred to herein as the “Plaza.”
  2. Groups 
“Groups” are defined as an assemblage of people numbering 3 or more individuals planning to visit the Clayton Jackson McGhie Memorial Plaza together.
  3. Marking Instruments 
“Marking Instruments” include spray paint, liquid paint, markers, glass cutters and/or other implements that could be used to mark, dye/color, scratch, gouge or otherwise deface the CJM Memorial or CJM Memorial Plaza by mechanical or chemical means.
  4. Clayton Jackson McGhie Memorial, Inc. Director 
A “Director” is an individual who sits on the Clayton Jackson McGhie Memorial, Inc. Board of Directors as a voting member or Emeritus member.  Directors carry out operations or duties for the advancement of CJMM, Inc.’s mission.
  5. Shortened Names 
The Clayton Jackson McGhie Memorial and Clayton Jackson McGhie Memorial, Inc. will be otherwise referred to herein as the “CJM Memorial” and “CJMM, Inc.”
  6. Tours 
A “Tour” is any group visit or excursion to the CJM Memorial organized or facilitated by a CJMM, Inc. Director.
  7. Weapons 
“Weapons” include firearms, knives, cutting tools, realistic replicas of firearms, disabling chemicals like mace, pepper spray, tear gas, chlorine, liquid bleach or compressed gasses or other potentially dangerous instruments, armaments or devices which can cause bodily harm to visitors, Directors, or others and/or physical harm to the CJM Memorial and/or the CJM Memorial Plaza or any items specifically prohibited to possess as per Minnesota State Penal Code.

General Provisons

The following rules and regulations are deemed necessary to ensure the orderly and safe operation of the Clayton Jackson McGhie Memorial Plaza.

III. Groups 
All Groups are required to designate their own “Group Leader” who is responsible for making the tour reservation, outlined on CJMM, Inc.’s website, maintaining control over the behavior of Group members while on the CJM Memorial Plaza.

 

Special Events

As stewards of the Clayton Jackson McGhie Memorial, special events are organized and planned by or in cooperation with Clayton Jackson McGhie Memorial, Inc.

IX. Interfering with Memorial Property Functions 
The following are prohibited:
a. Threatening, resisting, intimidating, or intentionally interfering with a CJMM, Inc. Director engaged in an official duty, or on account of the performance of an official duty.

X. Prohibited Behavior and Items 
The Clayton Jackson McGhie Memorial is a place of solemn reflection dedicated to honoring and remembering a tragic event and the loss of innocent life. Given the unique nature of the site and the tragedy that occurred here, proper decorum, personal behavior and conduct is required at all times in order to provide all visitors with respect and with an opportunity to reflect personally on the events that took place on June 15, 1920.

a. Disorderly and Prohibited Conduct 
Dismissal from the Clayton Jackson McGhie Memorial Plaza is warranted upon determination that a visitor has engaged in disorderly or prohibited conduct. Disorderly conduct can include, but is not limited to, any of the following prohibited acts:

i. Engaging in sporting and recreational activities, and expressive activity that has the effect, intent, or propensity to draw a crowd of on-lookers.

ii. Making noise that is unreasonable, or behaving in a way that is inappropriate given the solemn nature of the Clayton Jackson McGhie Memorial,

iii. Fighting, violent, or threatening behavior,

iv. Demonstrating, picketing, and rallying, 
v. Distributing, posting, or leafleting of materials, 
vi. Engaging in third-party commercial activities, soliciting, and/or vending,

vii. Loitering,

x. Impeding or threatening the security of persons or the CJM Memorial Plaza,

xi. Willfully defacing, destroying, or damaging the CJM Memorial or CJM Memorial Plaza, including structures, fixtures, and gardens,

xii. Eating and drinking meals or picnicking (personal or handheld snacks and beverages are permitted),
xiii. Smoking, Smokeless Tobacco and E-cigarette use, 
xiv. Gambling,

xv. Lighting fires, 
xvi. Tampering with the gardens

xvii. Throwing or dropping items of any kind at persons.

b. Prohibited Items 
In addition, visitors are prohibited from bringing the following items onto CJM Memorial Plaza:

ii. Weapons,

iii. Explosives, including fireworks,

v. Alcoholic beverages,

vi. Controlled substances,

vii. Narcotics whose use is strictly prohibited by governmental regulation,

viii. Powdered substances, liquid soaps and bubbles,

ix. Glass bottles,

x. Alkali metals, 
xi. Rope, wire of any kind, or any device used to attach or hang posters onto any structure or tree,

xii. Spray paint, paint of any kind, or any implement that could be used to deface or damage CJM Memorial Plaza, and

xiii. Wheeled vehicles (including personal wheeled vehicles such as roller blades, bicycles, scooters, and skateboards), except for authorized maintenance vehicles and medical necessity vehicles including wheelchairs, strollers, and personal mechanized transport carts such as elderly assistance scooters).

c. No Animals Allowed

i. Animals are not allowed on Memorial Property, except required service animals for visitors.

XI. Report of Injury or Damage 
All persons suffering bodily injury on the CJM Memorial Plaza or having knowledge of damage to the CJM Memorial Plaza are required to report the occurrence(s) to the City of Duluth immediately following the incident.

XIII. Photography, Videography, and the Use of Visual Recording Devices

a. Personal photography is permitted.

b. Any visitors to the CJM Memorial Plaza must respect all other visitors, and must also realize that due to the somber nature of this establishment, not all visitors wish to be taped, photographed, recorded, or bothered in any other manner.

XVII. Willful Violation 
a. Any person who violates the CJM Memorial Visitor Rules and Regulations is subject to dismissal from the CJM Memorial Plaza.  In such cases where warranted, Duluth PD will be contacted for assistance.
